End User License Agreement (EULA) for Happy Oils - Seed Oil Scanner

Effective Date: August 28th 2024

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Happy Oils - Seed Oil Scanner ("we," "us," or "our"). By downloading, installing, or using the Happy Oils mobile application ("App"), you agree to be bound by the terms and conditions of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the App.

2. License Grant

Subject to the terms and conditions of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. You may not use the App for any other purpose without our prior written consent.

3. Restrictions

You agree not to:

  1. Copy, modify, distribute, or create derivative works of the App.
  2. Reverse engineer, decompile, or disassemble the App, except as permitted by applicable law.
  3. Rent, lease, lend, or sublicense the App to any third party.
  4. Remove, alter, or obscure any proprietary notices or labels on the App.
  5. Use the App in any manner that violates any applicable laws or regulations.

4. Ownership

The App is licensed, not sold. We retain all right, title, and interest in and to the App, including all intellectual property rights. This EULA does not grant you any ownership rights in the App.

5. Updates and Modifications

We may provide updates, patches, or new versions of the App from time to time. These updates may be installed automatically or require manual installation by you. We reserve the right to modify or discontinue, temporarily or permanently, the App or any features thereof without notice.

6. Termination

This EULA is effective until terminated. We may terminate this EULA at any time without notice if you violate any of its terms. Upon termination, you must cease all use of the App and delete all copies of the App from your devices.

7. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be error-free, secure, or available at all times.

8. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability to you for all claims arising out of or related to this EULA will not exceed the amount paid by you, if any, for the App.

9. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, liabilities, losses, and expenses (including attorneys' fees) arising out of or related to your use of the App or your violation of this EULA.

10. Governing Law and Dispute Resolution

This EULA will be governed by and construed in accordance with the laws of [Insert State/Country], without regard to its conflict of law principles. Any disputes arising out of or related to this EULA will be resolved through binding arbitration in [Insert City, State/Country], in accordance with the rules of [Insert Arbitration Organization]. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
